NEW YORK, May 5, 2021 – Voyager Digital Ltd. (“Voyager” or the “Company”) (CSE: VYGR) (OTC: VYGVF) (FSE: UCD2), a publicly-traded holding company whose subsidiaries operate licensed crypto-asset trading and investing brokerages, and Market Rebellion, LLC, a leading provider of trading education, content and tools for independent investors, today announced an agreement to operate a new entity focused on providing online brokerage services for equities, options, and futures.

The new entity, operating through its wholly owned subsidiary VYGR Digital Securities, LLC (a FINRA registered broker-dealer) will execute equity trades on behalf of Voyager’s US based crypto-asset licensed brokerage as Voyager brings crypto to equities trading to its customer base through its highly acclaimed platforms.  Additionally, Market Rebellion will introduce its large active trading community to the new entity. The business expands on the existing relationship between the companies whereby Market Rebellion, an investor in Voyager, already introduces its crypto trading community to Voyager Digital, LLC.

Mr. Ehrlich continued, “With recently completed capital raises of over US$146 million, our balance sheet is stronger than ever. As part of the scaling of its management team, the Company recently added David Brosgol as General Counsel, Dan Costantino as Chief Information Security Officer, and Jamie Cabezas to lead Voyager’s HR effort. Voyager expects to continue building out its team throughout the course of the year and to triple its workforce in 2021.  In addition, in February, Voyager welcomed Krisztian Toth, a partner at the law firm of Fasken Martineau DuMoulin LLP, to the Company’s Board of Directors as part of its efforts to strengthen its corporate governance.

Voyager expects to continue bringing new products to The Voyager platform as well as to advance its geographic expansion. In 2021 and beyond, the Company anticipates adding debit cards, credit cards, stock trading and the ability to trade on margin to its offerings. Complementing this, Voyager will look to grow internationally by expanding into Canada and Europe.

Mr. Ehrlich concluded, “Voyager’s focus on the retail investor is becoming more and more popular and our loyal community’s social media outreach, combined with our own increased marketing activities, is helping to drive users signing up in record numbers on Voyager.”

The Company also announced that Shingo Lavine has resigned from the Board to pursue additional non-competitive opportunities. Q2 Fiscal Year 2021 Highlights

For the fiscal quarter ended December 31, 2020, the Company recorded revenues of US$3.6 million and ended the quarter with approximately 40,000 customer funded accounts. As of December 31, 2020, AUM was over US$230 million, placing Voyager in a strong position for the new calendar year. (“Voyager” or the “Company”) (CSE: VYGR) (OTCQB: VYGVF) (FRA: UCD2), a publicly-traded, licensed crypto-asset broker that provides retail investors with mobile and desktop solutions to trade and earn interest on a wide variety of cryptocurrencies, is pleased to provide stakeholders with an update for the following key metrics for the month ended January 2021 and for the period February 1, 2021 to February 4, 2021.

  • Preliminary revenue from operations was approximately US$8.5 million for the month of January 2021, up from US$1.7 million in the month of December, 2020. Preliminary revenue from operations for the period February 1, 2021 to February 4, 2021 is estimated to be at approximately US$2.5 million.
  • Net cash deposits were approximately US$120 million for the month of January, 2021, up from approximately US$30 million for the month of December, 2020. Net cash deposits were approximately US$18 million for the period February 1, 2021 to February 4, 2021.
  • Assets Under Management (AUM) were approximately US$800 million as of February 4, 2021, up from US$230 million at December 31, 2020, mainly attributable to both the increased in the value of held assets and the net cash deposited on the platform for the period.
  • Trades per day averaged more than 30,000 for the month ended January 31, 2021, up from an average of approximately 6,500, in December, 2020. Trades per day for the period February 1, 2021 to February 4, 2021 averaged 60,000 trades per day.
  • New funded accounts were 65,000 for the month of January, 2021, with total funded accounts over 106,000 as of February 4, 2021.
  • Basic Users on the platform were approximately 440,000 as of February 4, 2021 up from 150,000 as of December 31, 2020.
  • The value of customer trades for January increased over 5x to US$840 million up from US$150 million in December, 2020. The Company has executed over US$170 million of trades for the period February 1 through February 4, 2021.
